PHOTOGRAPHY SERVICES AGREEMENT
This Photography Services Agreement (hereafter referred to as the “Contract”) is entered into by and between Celeste Hulme Photography (hereafter referred to as the “Photographer”) and the undersigned individual (hereafter referred to as the “Client”). The individual signing this Contract does so on behalf of all parties to be photographed and is fully authorised to enter into this agreement.

1. ENTIRE AGREEMENT
1.1 This Contract constitutes the entire agreement between the Photographer and the Client. It supersedes any and all prior agreements, understandings, or representations, whether written or oral.
1.2 Any modifications or amendments to this Contract must be in writing and signed by both the Photographer and the Client.
1.3 By checking any applicable acknowledgment box (or signing this Contract), the Client indicates they have read, understood, and agree to all terms herein.
1.4 Upon receipt of the required deposit and a signed (or electronically acknowledged) copy of this Contract, the Photographer will reserve the agreed-upon time and date for services.

2. SESSION FEE
2.1 The Client agrees to pay the Photographer a non-refundable session fee deposit at the time of booking to secure their appointment.
2.2 This session fee covers:
- The time and talent of the Photographer.
- Creative editing of the images.
- An online proof gallery featuring the images from the session.

3. PRICING
3.1 The Client agrees to the pricing policies listed on the Photographer’s pricing page at the time of booking.
3.2 The pricing in effect at the time of booking will apply for all sessions referenced in this Contract and will remain in effect for 30 days past the session date.
3.3 Any future orders placed after 30 days will be subject to the current pricing at the time the order is placed.
3.4 The Client understands that the Photographer’s standard package includes 10 digital files; additional files or products must be purchased separately.
3.5 Full payment of any outstanding balance is due before any final products (digital files or prints) are delivered.

4. TRAVEL FEE
4.1 If the Photographer is required to travel more than 15km from Mosman 2088, the Photographer reserves the right to charge a travel fee.
4.2 The amount of the travel fee will be communicated and agreed upon in writing prior to the session date.

5. RESCHEDULING & FORCE MAJEURE
5.1 If the Photographer cannot perform or is prevented from performing any obligations under this Contract due to events beyond reasonable control—including but not limited to accident, illness, casualty, emergency, equipment failure, inclement weather, or other force majeure events—the Photographer will reschedule the session at a mutually agreeable date. All monies paid will be credited towards the rescheduled session.
5.2 In the event the Photographer is unable to perform the session entirely due to these unforeseen circumstances, and a reschedule is not possible,*all monies paid will be refunded to the Client.

6. CANCELLATION & POSTPONEMENT
6.1 The Client acknowledges that by entering into this Contract, the Photographer is foregoing other photography assignments.
6.2 Non-Refundable Deposit: Should the Client cancel or postpone the session, the session deposit is non-refundable.
6.3 Date Changes: The deposit may be transferred to a new date if the Client provides at least 48 hours’ notice and if the Photographer is available on the requested new date.
6.4 If the Client and/or key individuals fail to appear at the scheduled session, the session fee remains non-refundable.
6.5 The Photographer is not responsible for missed images or limited coverage due to Client or key individuals’ tardiness, non-cooperation, or failure to appear.

7. RE-SHOOTS
7.1 Each session is unique, and the images produced will reflect the Photographer’s expertise and style.
7.2 While the Client may request certain poses or images, there is no guarantee all requests can be fulfilled.
7.3 If the Client desires additional images or different results after the session has concluded, a new session and a new session fee will be required.

8. PROOFS & ORDERING
8.1 The Photographer will deliver a secure, password-protected online proof gallery containing a minimum of 25 edited images within 21 days of the session date.
8.2 The Client may order images and products via the online gallery or by emailing a request to the Photographer.
8.3 All orders must be paid in full before any products are processed or delivered.

9. IMAGE ARCHIVING
9.1 The Client’s proof gallery will remain active for 6 weeks following the date of delivery. After 4 weeks, the proof gallery will be deactivated, and all non-purchased images may be purged at the Photographer’s discretion.
9.2 Any images that the Photographer selects for marketing or promotional use may be retained for an extended period.
9.3 Purchased session images will be stored by the Photographer for up to 12 months following the session date. The Photographer cannot guarantee the availability of image files beyond that time.

10. PRODUCT & SALES FINALITY
10.1 Due to the custom nature of the services and products, all sales are final once orders are placed and paid for.
10.2 No part of any order will be processed until payment is received in full.

11. MODEL RELEASE & USAGE
11.1 The Client grants the Photographer and her legal representatives, heirs, and assigns, the irrevocable and unrestricted right to use and publish photographs of the Client and any individuals photographed for editorial, trade, advertising, or any other purpose and in any manner or medium.
11.2 The Client understands that the images may be altered, combined with other images, or modified at the Photographer’s discretion.
11.3 The Client releases the Photographer and any legal representative from all claims and liability relating to said images.
11.4 The Photographer will never sell the images to a third party without the Client’s express written permission.

12. LIABILITY & INDEMNIFICATION
12.1 The Photographer is not responsible for any injuries inflicted upon any participating parties. The Client and their participants will be responsible for themselves and their children, and they hereby release the Photographer from any claims against their person or business.
12.2 The Client understands that photographic prints may naturally fade or discolour over time due to the inherent qualities of the medium. The Photographer is not liable for any claim related to fading or discolouration.
12.3 The Client agrees to indemnify and hold harmless the Photographer, her employees, agents, and contractors from any and all claims, damages, or liability arising from or related to the services provided under this Contract, unless due to the Photographer’s sole negligence.

13. COPYRIGHT & PENALTY
13.1 Under the Australian Copyright Act 1968, it is illegal to copy, reproduce, or alter the photographs taken by the Photographer without the express written permission of the Photographer.
13.2 All images remain the sole and exclusive property of Celeste Hulme Photography.
13.3 The Client receives digital files for personal use only, which may include printing these images for personal display. The Client may not alter these images or use them for commercial purposes, competitions, or professional display without prior written permission.
13.4 The Client must refrain from copying, screen capturing, downloading (beyond the licensed digital files), printing, sharing, scanning, saving, or otherwise misappropriating images. If the Client is found to have done so, the Client will be invoiced for the cost of each misappropriated digital image at the Photographer’s current price per digital file.

14. CREATIVE CONTROL & STYLE
14.1 The Client acknowledges that the Photographer maintains creative control over the final look of each image, including but not limited to cropping, colour correction, retouching, and artistic style.
14.2 The Photographer’s professional judgment and sole discretion in selecting which images to deliver shall prevail. The Photographer reserves the right to edit and release only the images that meet her creative and technical standards.

15. INDEPENDENT CONTRACTOR STATUS
15.1 The Photographer is an independent contractor (as defined by the Independent Contractors Act 2006) and not an employee of the Client.
15.2 Nothing in this Contract shall be construed to create an employer-employee relationship, partnership, or joint venture between the Photographer and the Client.

16. GOVERNING LAW & SEVERABILITY
16.1 This Contract shall be governed by and construed in accordance with the laws of the State of New South Wales, without regard to its conflict of law provisions.
16.2 If any provision of this Contract is held to be invalid, unenforceable, or contrary to law, the remaining provisions shall remain in full force and effect.
16.3 Failure of either party to enforce any provision of this Contract shall not be deemed a waiver of that provision or any other provision in this Contract.

17. DISPUTE RESOLUTION
17.1 In the event a dispute arises concerning the terms or performance under this Contract, both parties agree to first attempt good-faith negotiation to resolve the dispute.
17.2 Should negotiation fail, the parties agree to submit to mediation before pursuing other legal remedies. Mediation will occur in the state of New South Wales.

18. SIGNATURES & ACCEPTANCE
By signing below (or checking the I agree box), the Client confirms that they have read, understood, and agree to all the terms and conditions set forth in this Contract. The Client also warrants that they are of legal age and have the authority to enter into this Contract on behalf of all persons to be photographed.
